By using the Site and its services, you/users agree to be bound by these Terms and Conditions


Partners Terms of Use

When using the various services provided by SupportingFriends you understand and accept that each and every time use is made of the services available on or via the Site, you are also accepting the current terms & conditions of any partners who are providing such services.

All users understand that each and every time that use is made of the service that the prevailing Terms & Conditions apply, whichever were in force at the time of application for use.

In particular when using the search service provided by our exclusive partner Yahoo! You are accepting Yahoo's own Terms of Use and Privacy Policy.

In relation to using our Cashback shopping services you are accepting the following Terms of Use that are incorporated into these general Terms and Conditions.


SupportingFriends Terms of Use

Our Agreement

1a) These Terms and Conditions and any amendments to them shall govern the relationship between us pursuant to which SupportingFriends shall supply you with the Site and its Services (the Agreement). By using the Site you agree to be legally bound by these Terms and Conditions, which shall take effect immediately on your first use of the Site or Homepage If you do not agree to be legally bound by these Terms and Conditions, please do not access and/or use the Site or its services.

1b) The main aim of the Agreement is for SupportingFriends to create you a homepage, or a browser or other link to the Site (the Homepage), which forms part of the Site, through which you will carry out searches and make links to third party sites, generating linkage revenue in the process. You hereby agree to SupportingFriends producing the Homepage and to allow links to be made to and from the Homepage.

1c) SupportingFriends will provide the services available on or via the Site in return for the revenue sharing agreement detailed in clause 2 below.


Revenue Share

2a) Every 30 days, SupportingFriends shall pay to your nominated cause in arrears 50% of any linkage revenue attributed to you. [The amount of linkage revenue attributed to you is calculated as follows: SupportingFriends puts all revenue generated by users of the Site into a pot and divides this by the number of searches conducted to calculate average revenue per search. If you have done 10 searches, the amount of revenue attributed to you is 10 times the average revenue per search.] The first payment date shall be 45-60 days after the end of the calendar month in which you first accept these Terms and Conditions. SupportingFriends shall retain 50% of such revenue in consideration of the services provided. If your share of the revenue in any calendar month is less than £20, then subject to clause 2d) below, SupportingFriends reserves the right to hold payment until an aggregate payment of £20 is due.

2b) In addition, if you refer the Site or the services on to any other organisations or individuals who subsequently sign up with SupportingFriends, then you shall be entitled to receive additional revenue calculated as follows:

  • £1 for each 'active' user (A user deemed as an active searcher to us).

These additional revenues shall be paid on the same terms as set out in the paragraph above.

2c) All payments due to you shall be determined in accordance with the Company's calculations. In particular, SupportingFriends reserves the right at any time in its sole discretion to disallow any searches and/or terminate our Agreement and your account if you are generating searches outside of the Terms and Conditions including (but not limited to) click fraud, automated search tools, searches made without regard to the results returned or artificially searching to generate linkage revenue. In addition, SupportingFriends shall not be obliged to pay you any revenues that SupportingFriends reasonably believes have been generated as a result of any of the above or similar activities.

2d) Where (i) your account has been inactive for at least six calendar months; or (ii) where we cannot trace you to pay you any revenue share due, SupportingFriends reserves the right to terminate our Agreement and your account and forward any outstanding revenue generated to your chosen cause.


Term and Termination

3a) The Agreement shall continue until terminated by SupportingFriends. SupportingFriends may terminate the Agreement on 1 days' notice to you at any time or immediately if you are in breach of these Terms and Conditions.

3b) SupportingFriends may change these Terms and Conditions at any time by posting changes online. Please review these terms regularly to ensure you are aware of any changes made by SupportingFriends. Your continued use of the Site and its services after changes are posted means you agree to be legally bound by these terms as updated and/or amended.


Usage:

4a) You may not copy, reproduce, republish, download, make available to the public, or otherwise use the Site or Homepage content (as provided by SupportingFriends or its partners) in any way except for your own personal, non-commercial use. You also agree not to adapt, alter or create a derivative work from any such content except for your own personal, non-commercial use. Any other use of such content requires the prior written permission of SupportingFriends.

4b) You agree to use the Site and the Homepage only for lawful purposes, and in a way that does not infringe the rights of, restrict or inhibit anyone else's use and enjoyment of the Site or the Internet.

4c) To the extent you post any material to the Site or the Homepage, you agree not to post any material which could reasonably be deemed to be indecent, obscene, defamatory, harassing, offensive, malicious, false, misleading, threatening, abusive, racist, blasphemous, infringe any third party rights or contravene any law, regulation, regulatory requirement, guideline or code of practice including without limitation and where relevant those relating to investment or financial services , data protection or advertising standards. In addition, you grant SupportingFriends a world-wide, non-exclusive, sub-licensable, royalty free licence to use any such material you post and you warrant to SupportingFriends that you have the right to grant such licence. You also agree to waive your moral rights in such material.

4d) You agree not to post on or send via the Site or the Homepage any unsolicited or unauthorised advertising, promotional materials, junk mail, spam, chain letters or any other form of solicitation, except to the extent that any solicitation does not breach any applicable law.

4e) You acknowledge that you must use your own judgment when accessing third party sites and content via the Site, the Homepage and/or a partner's search tool. SupportingFriends shall not be liable for any damages or distress suffered by you in relation to any content you access.

4f) SupportingFriends is concerned about the safety and privacy of all users of the Site, particularly children. For this reason, parents or guardians who wish to allow their children access to this Site should assist them in setting up any relevant accounts and supervise their access. Parents should also accept these Terms and Conditions on behalf of their children. SupportingFriends invites parents and guardians to visit the website of the Internet Watch Foundation for information and advice on protecting their children when they are online. Parents and guardians, please note that parental control protections (such as computer hardware, software or filtering services) are available that may assist you in limiting access to material that is harmful to minors. If you are under the age of 18 years old, you should not use this Site or submit any personal data about yourself without the consent of your parent or guardian. If you use the Site, we will assume (and you confirm) that you have legal capacity to accept these Terms and Conditions (that is, that you are of sufficient age and mental capacity and are otherwise entitled to be legally bound in contract).

4g) When using the various services provided by SupportingFriends or its partners you are explicitly accepting the terms and conditions of each individual search engine or service provider.


Disclaimers & Limitation of Liability:

5a) Content on the Site and the Homepage as provided by SupportingFriends, including the information, images, pictures, logos and icons regarding or relating to SupportingFriends, its products and services (or to third party products and services), is provided "as is" and on an "as available" basis without any representations or any kind of warranty made (whether express or implied by law). To the extent permitted by law, SupportingFriends hereby excludes all implied warranties, including but not limited to those of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, security and accuracy.

5b) Under no circumstances will SupportingFriends be liable for any of the following losses or damage (whether such losses where foreseen, foreseeable, known or otherwise):

- loss of data

- loss of revenue or anticipated profits

- loss of business

- loss of opportunity

- loss of goodwill or injury to reputation

- losses suffered by third parties

- any indirect, consequential, special or exemplary damages arising from the use of homepages-friends.com regardless of the form of action.

5c) SupportingFriends does not warrant that functions or content provided on or via the Site , the Homepage or partner sites will be uninterrupted or error free, that defects will be corrected, or that the Site, the Homepage, the partner sites or the servers that make them available are free of viruses or bugs.

5d) In no event shall SupportingFriends' liability to you exceed the amount of Homepages' friends share of any linkage revenue you produce.


Intellectual Property:

6) The images and logos identifying SupportingFriends or third parties and their products and services are subject to copyright, design rights and trade marks of SupportingFriends and/or the relevant third parties. Nothing contained in these Terms and Conditions shall be construed as conferring by implication or otherwise any ownership rights in such intellectual property rights to you or any other third party.


Submission of Information:

7) Where you are invited to submit any information about you to the Site, you agree that such information will be used by SupportingFriends in accordance with the SupportingFriends Privacy Policy. If you do not want SupportingFriends to use such information in this way, please do not submit your information to the Site.


General:

8) If there is any conflict between these Terms and Conditions and specific terms appearing elsewhere on the Site (including local house rules) then the latter shall prevail.

9) If any of these Terms and Conditions are determined to be illegal, invalid or otherwise unenforceable by reason of the laws of any state or country in which these Terms and Conditions are intended to be effective, then to the extent and within the jurisdiction in which that term is illegal, invalid or unenforceable, it shall be severed and deleted from these Terms and Conditions and the remaining terms shall survive, remain in full force and effect and continue to be binding and enforceable.

10) These Terms and Conditions and any other written terms referred to in them set out the entire agreement and understanding between the parties and supersede all prior arrangements or understandings (oral or written) in respect of their subject matter.

11) Unless expressly provided in these Terms and Conditions, no express term of this Agreement is enforceable pursuant to the Contracts (Rights of Third Parties) Act 1999 by any person who is not a party to it.

12) These Terms and Conditions shall be governed by and interpreted in accordance with the laws of England and Wales and each of the parties irrevocably submits for all purposes in connection with these Terms and Conditions and any Agreement to the exclusive jurisdiction of the courts of England and Wales.
